How to pay an SSM compound

Where you pay an SSM compound depends on the law it was issued under. Compounds on companies and directors under the Companies Act are paid only through SSM's Corporate Registry System (CRS). A compound under the Registration of Businesses Act 1956, such as one for renewing late, is paid on EzBiz Online, and Tap.It kiosks with SSM services take compounds within SSM's approved service terms. Only an unpaid compound can be paid.

What is an SSM compound?

An SSM compound (kompaun SSM) is a written offer from SSM, the Companies Commission of Malaysia (Suruhanjaya Syarikat Malaysia), to settle an offence by paying an amount instead of being prosecuted. The offer is made before any prosecution starts, can be at most half the maximum fine for the offence, and has a deadline: paid on time, the offence is closed; left unpaid, prosecution may follow.

Section 38A of the Companies Commission of Malaysia Act 2001 lets the Registrar, with the Public Prosecutor's written consent, compound an offence "by making a written offer to the person suspected to have committed the offence to compound the offence upon payment to the Registrar an amount of money not exceeding fifty per centum of the maximum fine for that offence within such time as may be specified in the written offer".

Paying on time ends the matter; not paying keeps prosecution open. The Act says that once an offence is compounded, "no prosecution shall be instituted in respect of the offence", and that if the amount is not paid within the time in the offer, prosecution "may be instituted". The laws it covers include the Companies Act 2016 and the Registration of Businesses Act 1956. Where a compound under another law in its list, such as the Limited Liability Partnerships Act 2012, is paid is not set out in the SSM documents used here: ask SSM.

Where do you pay an SSM compound?

Where you pay an SSM compound depends on the law it was issued under. SSM's CRS FAQ is direct about company compounds: "All matters relating to compounds under the Companies Act 2016 and the Companies Act 1965 are now fully managed through CRS", including "making payments for compounds imposed on companies and directors", and "Such matters are no longer accepted over the counter, through the EzBiz portal or via e-mail."

How do you pay a Companies Act compound?

A Companies Act compound is paid through CRS, SSM's Corporate Registry System. SSM's CRS FAQ says the compound details appear on the CRS Dashboard and in the Compound Tray, a notification is sent to the registered e-mail address, and CRS is where compound statuses are checked, compound notices downloaded and printed, and payments made. For CRS payments in general, the FAQ lists debit or credit card, FPX and supported e-wallets.

You do not have to be the director to pay. "Any party may make the compound payment, provided that they have a valid compound reference number and the compound remains under Unpaid status," the FAQ says. If a company is wound up by court order, SSM says its directors are responsible for settling any outstanding compounds.

How do you pay a business compound on EzBiz Online?

A business (ROB) compound is paid on EzBiz Online through its compound services. SSM's EzBiz compound FAQ says you need an EzBiz user account, that only an UNPAID compound can be paid, and that payment is by "Credit Card, Debit Card, FPX (internet banking)". The service is limited to businesses linked to the identification number of the logged-in user. The steps in SSM's FAQ:

  1. Open the serviceClick My Compound Service, then Compound Payment.
  2. Find the compoundClick 'Search' to view your compound record, or enter the entity type and number; all outstanding compounds are listed.
  3. Check the detailsClick the 'Detail' icon to see the offence and the original amount of the compound.
  4. PayClick the 'Pay' icon and complete the payment.
  5. Keep the receiptA notification email confirms the payment; click 'Print' for the receipt and save it.

A compound for renewing late can also be paid with the renewal itself. SSM's EzBiz renewal guide has a box to tick if you are paying a compound, and says the "Compound Amount" is the compound offered for renewing late under section 12(1)(b) of the Registration of Businesses Act 1956. The renewal steps are in how to renew a business registration (ROB) in Malaysia.

The compound itself is SSM's: why it was issued and how much it is are questions for SSM, and the kiosk is a place to pay it. See compound payment at a Tap.It kiosk and the Tap.It locations with SSM services.

What if the compound has expired?

An expired SSM compound can no longer be paid online, and neither can one pending prosecution or under prosecution. SSM's EzBiz compound FAQ says: "For compound with EXPIRED, PENDING PROSECUTION and PROSECUTION, please refer to the Compliance Division at Headquarters SSM or Enforcement Section of the Office of State SSM for further information." Contact SSM before the matter moves further, since the Act lets prosecution be instituted once the time in the offer has passed.

Why do businesses get an SSM compound for renewing late?

Businesses get an SSM compound for renewing late because carrying on a business after its registration has expired is an offence. Section 12(1)(b) of the Registration of Businesses Act 1956 covers anyone who "continues to carry on any business after the period of registration has expired", liable on conviction "to a fine not exceeding fifty thousand ringgit or to imprisonment for a term not exceeding two years or to both". A compound settles that offence for a payment instead, and renewing before the expiry date avoids it.

How large can such a compound be? Section 38A caps a compound at half the maximum fine, and the maximum fine under section 12(1)(b) is RM50,000, so a late-renewal compound cannot be more than RM25,000. The actual amount is the one in SSM's written offer.
